1. Services
Freelance technical and consulting, software development, hardware development, and creative services according to the agreed project scope.
2. Client Responsibilities
Clients must provide accurate information, materials, and approvals in a timely manner.
3. Intellectual Property
- The client retains ownership of their logo, content, and branding materials.
- Freelancer may not use client materials for other purposes without consent.
4. Restrictions
Freelancer will not create, promote, or assist in the development of materials related to weapons, violence, terrorism, hate speech, or illegal activities.
5. Payment
Invoices are due as stated in the project agreement. Work may pause if payment is delayed.
6. Limitation of Liability
Freelancer provides services using reasonable skill and care but makes no guarantee of error-free or uninterrupted results. To the fullest extent permitted by law:
- Freelancer's total liability for any claim is limited to the total amount paid by the client for that specific project.
- Freelancer is not liable for indirect, incidental, or consequential damages.
7. Warranties & Disclaimers
Freelancer will correct material defects reported within 150 days of project delivery but cannot guarantee compatibility with all devices, browsers, or third-party systems.
8. Termination
Either party may terminate the agreement with written notice if the other breaches material terms. Outstanding payments remain due.
9. Governing Law & Dispute Resolution
This agreement is governed by the laws of the State of Florida, United States.
Arbitration: Any disputes, claims, or controversies arising from or relating to this agreement shall be resolved through binding arbitration rather than in court. Arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Florida, and the arbitrator's decision will be final and binding on both parties.
Both parties waive the right to a jury trial and the right to participate in a class action. The prevailing party in any arbitration shall be entitled to recover reasonable attorney's fees and costs.
10. Affiliate Program
Affiliates receive commission for successful referrals as agreed upon. For affiliate inquiries, email russoc2023@fau.edu.
11. Acceptance
By hiring Charles Russo or using the services, the client agrees to these Terms of Service and the accompanying Privacy Policy.
